These General Terms and Conditions (“GTC”) apply to all Digital Equine Marketing services. Digital Equine Marketing re- serves the right to change these GTCS at any time. Digital Equine Marketing will give you thirty calendar days’ notice of any changes by directly emailing our current clients and updating our website. actual damages, regardless of the form of action, for services supplied by Digital Equine Marketing is limited to and cannot exceed the amount paid to Digital Equine Marketing for the services that caused the damages or that is the subject matter of, or is directly related to, the cause of action.
Offers, Purchase Orders and Order Confirmations
1.1 All offers made by us are open for acceptance within fifteen calendar days from the date of issue, unless otherwise specifically stated therein, and are subject to Digital Equine Marketing’s availability.
Prices and Terms of Payment
2.1 The prices for services will be included in our order confirmation and invoice.
2.2 Unless expressly stated otherwise in our order confirmation, payment for services shall be made without offset or deduction unless expressly stated.
2.3 Payment terms are invoice date + 14 days. Any delay in payment will carry an addition of interest of 1,5% for each month entered into as from the due date,
2.4 The delivered services shall remain the property of Digital Equine Marketing until paid for in full.
Intellectual Property Rights
3.1 Digital Equine Marketing holds the title of all intellectual property rights in or arising out of or in connection with the services. Digital Equine Marketing grants to the customer a limited, non-exclusive, non-transferable, right to use the delivered solely for the customer’s own internal purposes.
3.2 The customer is unauthorised to copy the services delivered. The customer may not, either directly or through any third party, transfer the services to a third party.
Limitation of liability
4.1 Digital Equine Marketing shall not be liable for, indirect, special, incidental, consequential or punitive damages of any nature, including, but not limited to, business interruption cots, loss of profit, loss of data, injury to reputation or loss of customers, which arise out of or in connection with the Services.
4.2 In any situation, if clause 4.1 is not applicable, the maximum liability of Digital Equine Marketing for actual damages, regardless of the form of action, for services supplied by Digital Equine Marketing is limited to and cannot exceed the amount paid to Digital Equine Marketing for the services that caused the damages or that is the subject matter of, or is directly related to, the cause of action.
Processing of personal data
5.1 Digital Equine Marketing may process personal data. If personal data is processed, this will be with due observance of the General Data Protection and law. Information on the customer’s name, address, e-mail, telephone number, etc. can solely be used in connection with the customer’s orders, communication and other specific purposes.
5.2 Digital Equine Marketing will store the data for as long as is necessary for the purpose for which it is processed. Digital Equine Marketing can neither disclose, sell nor otherwise transfer information to third parties, unless the customer has agreed to the same.
5.3 If the customer wants information on which data is being processed, having data erased or corrected, the customer should contact Digital Equine Marketing at cms@digitalequinemarketing.com
Force Majure
6.1 Either party shall be excused from any delay or failure in performance if caused by reason of any occurrence or contingency beyond its reasonable control. The obligations and rights of the party so excused shall be extended on a day-to-day basis for the time period equal to the period of such excusable interruption.
